TERMS OF SERVICE AGREEMENT


PLEASE READ THESE CUSTOMER STANDARD TERMS AND CONDITIONS VERY CAREFULLY BEFORE REGISTERING AS A CUSTOMER.  THESE CUSTOMER STANDARD TERMS AND CONDITIONS ARE AN IMPORTANT PART OF YOUR AGREEMENT WITH TREASCORE.

These Standard Customer Terms and Conditions are incorporated into and constitute a material part of the Customer Agreement (the "Agreement") between you (the "Customer") and TreasCore, Inc. ("TreasCore").  The effective date of this Agreement (the "Effective Date") is the date on which Customer accepts the following terms and conditions by clicking "I agree" on TreasCore’s Online Enrollment Form.

In order to use the service, you must be an individual person at least 18 years of age and able to form legally binding contracts under applicable law.  You must have a postal mailing address in the United States and a valid and active e-mail address.  You must have a valid checking account with a U.S. financial institution.  You must be a United States resident.  Other restrictions may apply.

1. DESCRIPTION OF SERVICES; START DATE FOR SERVICES
:  TreasCore will provide the bookkeeping, personal treasury/financial management and bill payment services (the "Services") as described on our web site www.treascore.com for the Service Package selected by Customer.  TreasCore will begin providing the Services on the Effective Date.  TreasCore will assist Customer in collecting funds and bills to initiate the Services but it is Customer's responsibility to provide TreasCore with the materials and information necessary to provide the Services.  If TreasCore does not receive all of Customer's required information in a timely manner, Customer will still be responsible for all applicable fees, including any monthly service charges.

2. NON-REFUNDABLE SET-UP FEE:  Customer will pay the set-up fee for the applicable Service Package and hereby authorizes TreasCore to charge the credit card or bank account designated by Customer for such set-up fee.  THIS SET-UP FEE IS NOT REFUNDABLE.

3. MONTHLY FEES; OTHER SERVICE FEES:  Customer will pay the monthly fee for the applicable Service Package as described on our web site www.treascore.com for each month (or portion thereof) from the Effective Date until the end of the term of this Agreement, as well as any applicable fees specified in TreasCore's fee schedule (the "Fee Schedule"), which may be updated from time to time by TreasCore.  Customer's account will be billed for the monthly fee and the set-up fee on the Effective Date and then once a month thereafter until the end of the term.  All other services fees incurred by Customer will be billed on a monthly basis.  The monthly fee for the last month of the term will not be prorated (e.g., if the last day of the term is not the last day of billing cycle).  If the number of bills exceeds the number of bills described in Customer's selected Service Package, the Customer will pay the monthly fee for the applicable Service Package that corresponds to the number of bills paid.  If there is a lack of funds in your account, you will be mailed or emailed a statement reflecting the current monthly charge which is due, in full, within 20 days of the statement date.

4. FEE SCHEDULE:  Your TreasCore account may periodically be subject to additional charges that will be applied to your monthly service fee.  Below is a list of some of the charges and TreasCore retains the right to add or adjust charges at any time:

Wire Transfer Fee:  $10
Account Debit Insufficient Funds Fee: $25
Rushed or Overnight Payment Processing Fee (less than 5 business days): up to $15
Phone payment fees: Vendor may charge Customer directly.  TreasCore will not charge in addition to process.
Cashier's check fee: $5

If the customer requests additional services not included in the customers selected Service Package then the time needed to complete the additional services will be billed in 15 minute increments at $65 per hour and charged to the Customer the next calendar month.  The time to complete and the cost of the additional services will be established by TreasCore at the time of the customer’s request.  The Customer has 30 days to review any charges billed to their TreasCore account.  The Customer may also contact TreasCore to request a change to the Customer's Service Package.  

Customer agrees to pay TreasCore for any special services we perform against your account at your request (e.g. year/monthly CD-ROM's; requests for copies of archived bills and checks; and the costs we incur in responding to subpoenas and other legal process related to your transactions).  There may be other costs as well.

5. PRICE CHANGES:  The monthly service fees in effect on the Effective Date will continue to apply for a period of one (1) year from the Effective Date.  The Fee Schedule and all general pricing structure may be updated from time to time by TreasCore.  A current copy of the Fee Schedule is available from TreasCore upon request and TreasCore will use commercially reasonable efforts to inform Customer of any changes to the Fee Schedule at least [thirty (30)] days before such changes become effective.

6. TERMINATION; EARLY CANCELLATION FEE:  This Agreement may be terminated at any time by either party upon thirty (30) days' advance written notice to the other party.  If this Agreement is terminated prior to the first anniversary of the Effective Date either (a) by TreasCore pursuant to paragraph 10 below or for customer's default or (b) by customer, Customer will pay a cancellation fee of two (2) times the applicable monthly fee.

7. CREDIT CARD AND BANK ACCOUNT CATEGORIZATION:  If credit card and/or bank account categorization is included in the package selected by Customer, Customer may establish and provide to TreasCore Access Information including online user names, passwords and other required information for Customer's credit card and bank account (“Access Information”).  Upon request, TreasCore will assist Customer in establishing online user names and passwords for such accounts.  TreasCore will only use this information to download Account Information such as bank account and credit card activity (“Account Information”), so that categorization can occur.  Customer may also provide the data in Microsoft Excel format or a format that will import to Microsoft Money or Quicken on a monthly basis.

If Customer chooses to only provide copies of account statements, TreasCore will be required to manually enter transactional data into the TreasGuard system.  If credit card and/or bank account categorization is included in the package selected by Customer, the monthly service fee inlcudes transactional data for one account per month to be entered manually.  For each additional account manually entered into the TreasGuard system our hourly rate will apply.

8. BILLS PAID AND REPORTS
:  On the fifteenth (15th) calendar day of every month, or at a regular monthly interval deemed appropriate by TreasCore, TreasCore will mail, email or make available via secure website (www.treasguard.com) to Customer all actual bills paid, categorization reports, and a reconciliation of Customer's account with TreasCore.  These reports and reconciliations will reflect activity for the prior month.  You agree to review each monthly account activity statement and to notify us immediately if there are any unauthorized payments or errors.

9. AUTHORITY TO MAKE PAYMENTS:  You will agree to maintain a balance in your account that is sufficient to fund all payments that are due.  Payments are debited from your account in an amount equal to the amount of the payment along with any applicable service fees.  Provided there are sufficient funds in your account to cover the payment amount, the payment is paid in full.  A check will be issued by TreasCore in the payment amount, mailed by 1st class mail, to the individual or entity which payment is to be made.  Alternatively, we may choose to arrange for an electronic payment to be made to the individual or entity, which we will initiate.  You also agree that we are not responsible for any insufficient funds situation or charge (including, but not limited to, finance charges, late fees or similar charges) caused by your failure to maintain a balance that is sufficient to fund all payments that are due.

We are not responsible for any failure to complete or delay in completing any payment due to any of the following:

  • Your account balance does not contain sufficient funds to complete the payment.
  • Your account with us has been closed.
  • The payee rejects or returns the payment for any reason.
  • You have provided us with incorrect information about the payee you wish to pay.
  • The payee mishandles or delays handling or posting any payment we send.
  • Circumstances beyond our control (e.g. act of God, computer malfunction, Postal Service) prevent or delay the transfer of payment from being completed.
  • There may be other exceptions as well.

10. GUARANTEE:  Upon receipt of Customer's bills, TreasCore will change the billing address to TreasCore's secure P.O. Box location.  TreasCore guarantees on-time payment of bills that are received by TreasCore at least ten (10) working days prior to the applicable due date provided that sufficient funds to pay such bills are made available by the customer to TreasCore.  If sufficient funds are not available, a representative from TreasCore will contact Customer to make arrangements for Customer to make funds available to TreasCore.  If funds are not made available within three (3) working days, then the foregoing payment guarantee will not apply and TreasCore may return any unpaid bills to Customer for payment.  TreasCore reserves the right to suspend the Services and/or terminate this Agreement immediately (e.g., without 30 days advance notice) if Customer repeatedly fails to keep sufficient funds available to TreasCore.

11. PROHIBTED PAYMENTS
:  Payments to payees outside of the United States are prohibited through this service.  Payments will only be forwarded to locations within the United States.  We do not and will not send payments internationally.

12. OUR RIGHT TO REFUSE TO MAKE PAYMENTS:  We may refuse to make any payment that we believe to be prohibited by law.  If you fail to maintain an account balance that is sufficient to fund any payments that are due, we may refuse to make any payments for as long as we determine to be necessary or appropriate.

13. STOP PAYMENTS:  You may stop a payment from your account by notifying TreasCore verbally or in writing at least 7 business days before the scheduled Payment date of the transaction.  We may require you to give us written confirmation of a stop-payment order within 14 days of an verbal notification.  An verbal stop-payment order ceases to be binding after 14 days if you fail to provide a required written confirmation.

14. MAIL SORTING AND SHREDDING:  You authorize TreasCore to open any mail that arrives in your name or other documents which have been forwarded to us or received by us on your behalf, whether or not the mail is also or only addressed to you.  You also authorize us to scan your paper bills into our system and to make and retain originals, copies or images of those bills.  Mail is categorized into the following types and will be handled as follows:

  • 1st class Mail:  All 1st class mail may be opened and all bills, invoices, statements of account and similar items will be scanned into the system.  All other materials, whether included with a bill or sent to us separately may be examined.  Pertinent information other than a bill or billing insert will be included in subsequent pages with your bill.
    • Physical items, such as credit cards or insurance cards will be mailed to your home address. An e-mail notification will go out notifying you that these items are in the mail.  If you do not receive these items, you will need to contact TreasCore.
    • Paperwork needing immediate attention will be scanned and e-mailed to you.  The originals will be filed in your monthly folder.
    • Any non-bill notices, such as a rate change, will be scanned and delivered through the TreasGuard system.  Account-related items sent to TreasCore, such as a calling card, are immediately forwarded to your home mailing address.
  • Packages:  All other items received, such as merchandise ordered online, cannot be accepted and will be returned to sender. Please be sure to indicate your home as the shipping address when ordering items online, through catalogs, etc.
  • Junk Mail:  All other mail (e.g. flyers, credit card applications, advertisements, envelopes, newsletters, etc.) will be shredded on site.

15. PAYMENT ADDRESSES:  We reserve the right to change the address of a payee to whom we send payments, without notification, in the following situations:
  • The information returned by our address cleansing process determines the format of the address does not comply with the USPS standards.
  • We have determined the address provided is not a valid address for the payee.
  • The payee has closed the address, and provided us with a new address.
  • We have established a relationship with the payee to send payments to a different address other than the one provided on the statement.

16. CHANGES TO PERSONAL INFORMATION:  You agree to promptly update all your personal information, including, but not limited to, name, address, e-mail address, etc.  We are not responsible for any mail we forward to your old mailing or e-mail address prior to receiving updated information from you.

17. USAGE LIMITATIONS, OBILAGATIONS AND AVAILABILITY
:  You agree that you will not provide access to the services to any party other than yourself, and you will take reasonable precautions to safeguard your user name and password and keep it confidential.  You agree to use the services only for lawful purposes.  You are responsible to provide at your own expense all necessary telephone lines, Internet connection and equipment needed to access the services.  The availability of the service may be subject to interruption and delay due to causes beyond our reasonable control.

18. LIMITATION OF LIABILITY:  Neither party will be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement, even if the party has been advised of the possibility of such damages.  Further, neither party's aggregate liability arising with respect to this Agreement will exceed the total fees paid by Customer to TreasCore under this Agreement; provided, that the foregoing will not limit Customer's liability for the non-payment of any fees due to TreasCore under this Agreement.

19. ASSIGNMENT:  Customer may not assign this Agreement without TreasCore's prior written consent.

20. BINDING EFFECT:  This Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and permitted assigns.  The failure of either party to insist upon or enforce strict performance of any provision of this Agreement will not constitute a waiver or relinquishment of such party's right to subsequently enforce such provision or any other provision of this Agreement.

21. NOTICE:  For purposes of this Agreement, any notices will be sent in writing to the following respective addresses: For TreasCore: P.O. Box 17930, Clearwater, FL 33762; For Customer:  the address provided to TreasCore which may be updated by Customer from time to time.

22. CHANGE IN TERMS:  We reserve the right to change our terms and conditions at any time.  We will post any changes on our web site www.treascore.com and will send you any legally required notices.  Prior notice may not be given, unless, an immediate change is necessary for security purposes.

23. FLORIDA LAW TO APPLY:  This Contract shall be construed under and in accordance with the laws of the State of Florida and venue for the adjudication of any dispute relating to this Contract shall be Pinellas County, FL.

24. PRIVACY:  All personal information provided to TreasCore by you will be kept confidential.  We do not and will not sell or rent the personal information you provide to us with companies outside of TreasCore, Inc. for any reason, at any time.  We will only disclose information to third parties about your account in the following circumstances:
  • Where it is necessary for opening or maintaining your account, or for completing transfers or payments.
  • Where it is necessary to obtain Account Information for credit card and bank account categorization purposes
  • Where it is necessary for adding a payee (individual or entity) to your account.  Also, for telling the payee where your account statement (bill) should be sent for processing.
  • If lawfully required.
  • If you request or authorize it.


25. ENTIRE AGREEMENT:  This Agreement contains the entire agreement between the parties, and no statements, promises, or inducements made by either party or any agent of either party that are not contained in this Agreement will be valid or binding; this Agreement may not be modified or altered, except as set forth in a written instrument signed by both parties.

26. SEVERABILITY:  If any provision or terms of this Agreement is deemed to be unenforceable by a court of competent jurisdiction, all remaining terms not so affected will remain in full force and effect.

27. RESOLUTION OF FEE DISPUTES BY ARBITRATION:  Any controversy or claim arising out of or relating to a fee charged pursuant to this Contract shall be settled by arbitration under the fee arbitration rule of the Rules Regulating the Florida Bar.  Judgment upon the award rendered may be entered in any court having competent jurisdiction.
